The Rawls College Welcomes International Guest Speaker Alessandro Foti

This past Wednesday, the Rawls College welcomed international guest speaker Alessandro Foti to present to the general public. His presentation touched on the role of independent directors in the corporate governance of companies in developed financial markets. Alessandro has been operating as an independent financial advisor and a venture capital investor since 2009. From 2009 to 2012, following Ferretti Group's first financial restructuring, he was appointed Vice Chairman of the Board of Directors of Ferretti, actively working on the second restructuring and sale of the group. In the same period he was also an independent board member of Camfin (Pirelli) and Dada and a member of different board committees. From October 2011 to January 2014, he has been one of five members (the only independent one) of Banca Popolare di Milano Management Committee. In this period, BPM executed an 800m euro capital increase and approved and executed a business plan which significantly restructured and simplified the group, bringing it back to profitability. In the same period, he also served as Chairman of Pro-Family, the group's consumer finance company. Alessandro is currently an independent board member of Yoox - Net a Porter, Inwit and Burgo. Alessandro has been Governor and Vice Chairman of the Governing Body of the Sir James Henderson School of Milan and is a board member of a healthcare research foundation.
More about Alessandro Foti
Born in London in 1963, Alessandro graduated from Economic and Social Sciences at Bocconi University in Milan. In 1989, he joined Mediobanca's mergers and acquisitions department, where he gained extensive experience in financial analysis, modelling, valuation and in the execution of M&A transactions. He was involved in the preparation, negotiation and implementation of Ferruzzi-Montedison's restructuring plan and in the subsequent disposal program. Other major transactions include the sale of Sanitari Pozzi-Ginori, the sale of Pirelli Prodotti Diversificati seven Business Units, the sale of Società Italiana Vetro to Pilkington and Techint and the reorganization of Gemina.
In 1996, he joined Lehman Brothers in London as a director in their M&A practice, heading the team responsible for the origination and execution of M&A assignments involving Italian companies. Promoted to managing director in 2000, he had significant success introducing other business opportunities through the advisory role, with meaningful exposure to equity and debt transactions. Major deals include the joint-venture between Olivetti and Mannesmann, the acquisition of Telecom Italia by Olivetti, the merger of Seat and Tin.it and the privatization of Aeroporti di Roma. In 2001, he took responsibility of Lehman's European Media and Telecom M&A business, which he led through a number of high profile deals. At the end of 2002, Alessandro joined UBS as co-head and co-CEO of its Italian Investment Banking business, based in Milan. He was responsible for reorganizing and managing the Italian based team and originating transactions with Italian clients across products. Major achievements include significant increase in revenues and market share, as well as the generation of cross-business opportunities with UBS Wealth Management. From mid 2007 to the end of 2008, he was CEO of Euraleo, a joint-venture between Eurazeo and Banca Leonardo established in 2006 to carry out private equity investments in Italy. During this period he was board member of Intercos and Sirti. Alessandro is a native Italian speaker, but is also fluent in English, French and Spanish.
